Introduction

These Terms of Engagement (the "Agreement") govern the relationship between you ("Expert") and Astute Connect, a brand of AstuteAnalytica India Pvt. Ltd., ("Astute Connect", "we", "us", "our"), along with our Privacy Policy, with respect to your participation in Professional Dialogues as outlined below.

Definitions

"Astute Connect" refers to a brand operating under AstuteAnalytica India Pvt. Ltd., registered in Noida, India.

"Client" signifies any organization or individual you may interact with under a Professional Dialogue as per this Agreement.

"Professional Dialogue" stands for a range of expert exchanges with Client(s), varying in duration and format, such as remote consultations, on-site visits, and advisory roles.

"Project Brief" outlines the subject matter to be discussed during a Professional Dialogue.

General Eligibility

By agreeing to these Terms of Engagement, you confirm your eligibility to participate in Professional Dialogues, assuring that you aren't violating any third-party agreements (e.g., with your employer).

Background Information

You agree to provide accurate information about your professional background ("Background Information"), which may be shared with Clients to facilitate potential Professional Dialogues.

Background Information

You acknowledge that discussions about a particular Project Brief are preliminary assessments of your suitability for a Professional Dialogue. Participation is always at your discretion.

During Dialogue Commitments

You agree to not disclose confidential information, trade secrets, or offer professional advice in regulated fields like law, medicine, finance, etc., during a Professional Dialogue. Additionally, you must adhere to all relevant anti-corruption and anti-bribery laws.

Post-Dialogue Commitments

You agree not to engage in any business activities with a Client introduced by Astute Connect without our written consent and shall assist in any regulatory inquiries related to any Professional Dialogue you participated in.

Invoicing & Payment

Invoices should be submitted within 7 working days post-consultation to info@astuteanalytica.com. Payments will be processed within 30 days.

Confidentiality

You agree to maintain the confidentiality of proprietary information disclosed during a Professional Dialogue.

Intellectual Property

Any written material you provide is warranted to be your original work, and you grant Clients a non-exclusive, royalty-free, worldwide license to use said material.

Term & Termination

This Agreement is effective upon acceptance and remains in effect until terminated by either party in writing. Upon termination, several obligations will persist, including confidentiality and intellectual property clauses.

Liability

Our liability is limited as detailed under Indian law, except in cases of negligence resulting in death or injury, or instances of fraud.

Third Parties

Clients may enforce and rely upon these Terms of Engagement. Apart from Astute Connect, you, and Clients, no third party is entitled to enforce this Agreement.

Governing Law

This Agreement is governed by Indian law and is subject to the jurisdiction of Indian courts.

Entire Agreement

These Terms of Engagement constitute the entire agreement between the parties involved. Any changes must be in writing and accepted by both parties.
